Notice of Annual General Meeting: Yarrambat Golf Club Inc.
Date: Tuesday 28 August 2018
Time: 7:00 pm
Place: Bunker’s Café & Bistro, 649 Yan Yean Road, Yarrambat, Vic

Business to be considered:

• Confirmation of the minutes of the Annual General Meeting held on 29th August 2017
• Confirmation of the minutes of the Special General Meeting held on 29th August 2017

To receive and consider:

• The Annual Reports of the Committee on the activities of the Association during the preceding financial year
• The Financial Statements of the Association for the preceding financial year submitted by the Committee in accordance with Part 7 of the Act
• To confirm or vary the annual subscriptions and joining fee
• To consider the granting of any Life Memberships
• To elect members to the 2018/19 YGC Inc. Committee

Summary of other matters to be considered:

• General Resolution 1 – proposal to reduce 2018/2019 Membership fees
• General Resolution 2 –proposal to increase Prize allocation (from Comp fees) from 85% to 95%
• General Resolution 3 –proposal for Members to have opportunity to be be heard on potential return to VGL affiliation
• Special Resolution 1 – proposal to impose a cap on number of proxy votes held by any one member
• Special Resolution 2 – proposal to prohibit members soliciting proxy nominations 

The prescribed notice period for further resolutions has now closed.

Nominations:

Nominations for any Committee positions should be forwarded to the Secretary as soon as possible.

Proxies:
*A member may appoint another member as their proxy to vote and speak on their behalf at a general meeting
*The appointment of a proxy must be in writing and signed by the member making the appointment.
*The member appointing the proxy may give specific directions as to how the proxy is to vote on his or her behalf, otherwise the proxy may vote on behalf of the member in any matter as he or she sees fit.
*If the Committee has approved a form for the appointment of a proxy, the member may use any other form that clearly identifies the person appointed as the member’s proxy and that has been signed by the member
*A form appointing a proxy must be given to the Chairperson of the meeting before or at the commencement of the meeting.
*A form appointing a proxy sent by post or electronically is of no effect unless it is received by the Association no later than 24 hours before the commencement of the meeting.

Manager Michael McKay will be giving a brief presentation on the future direction for Yarrambat Park GC,  and the new Pro Andrew Cooper will be giving a brief overview of both his history and future plans.
